Terms of Service

1. Introduction

Welcome to Nira Flow. These Terms of Service ("Terms") form a binding agreement between you and Stratégies Nira Flow Inc., operating as Nira Flow ("us," "we," "our," or the "Company"), a corporation incorporated under the laws of Quebec, Canada.

By creating an account, accessing, or using our website (niraflow.ai), web application, or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

These Terms work together with our Privacy Policy, available at niraflow.ai/privacy. By using the Service, you also agree to the Privacy Policy.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract in your jurisdiction
• Not be prohibited from using the Service under applicable laws or sanctions
• Provide accurate and complete information when creating your account

If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

3. Description of the Service

Nira Flow is an AI-powered brand strategy software-as-a-service (SaaS) platform that helps founders and small businesses build foundational brand strategy materials. The Service includes:

• A guided form-based intake covering brand foundations, vision, purpose, mission, values, positioning, brand personality, and reasons to believe
• AI-generated brand strategy content based on user inputs, produced via the Claude API by Anthropic PBC
• A downloadable PDF "playbook" containing the strategic outputs
• Tier-based access to features (Free, Pro, Enterprise) as described on our pricing page

The Service is provided on a subscription basis or as a one-time purchase, depending on the tier selected. Specific features available at each tier are described on niraflow.ai and may change over time.

4. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate
• Keep your password confidential and not share your account with others
• Be responsible for all activity that occurs under your account
• Notify us immediately at privacy@niraflow.ai of any unauthorized access or security breach

We reserve the right to refuse registration, suspend, or terminate accounts at our discretion, particularly in cases of suspected fraud, abuse, or violation of these Terms.

5. Subscription Tiers and Billing

5.1 Tiers

The Service is offered in three tiers, as described on our pricing page:

• Free Tier: Limited access. One permanent playbook with partial PDF output.
• Pro Tier: Full playbook generation, content generation features, monthly or annual billing.
• Enterprise Tier: White-label options, workspaces, team seats, monthly billing.

Pricing, features, and limits for each tier are subject to change. We will notify you in advance of material changes affecting your subscription.

5.2 Billing

Subscriptions are billed in advance through Stripe, our payment processor. By subscribing, you authorize us to charge your payment method:

• The applicable subscription fee on a recurring basis (monthly or annually, as selected)
• Applicable taxes (GST, HST, QST, or other taxes based on your billing location)
• Any one-time fees associated with optional add-ons or upgrades

You are responsible for keeping your payment information accurate and current.

5.3 Renewal and Cancellation

Subscriptions automatically renew at the end of each billing cycle unless you cancel. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle; you will retain access to the Service through that period.

We do not offer prorated refunds for partial billing cycles, except as required by applicable law.

5.4 Refunds

Except where required by law, all payments are final and non-refundable. We may, at our sole discretion, offer refunds in exceptional cases. To request a refund, contact privacy@niraflow.ai within 14 days of the disputed charge.

5.5 Price Changes

We may change subscription pricing at any time. For existing subscribers, price changes take effect at the start of the next billing cycle and we will provide at least 30 days' notice by email.

5.6 Failed Payments

If a payment fails, we will retry charging your payment method through Stripe's Smart Retries system. If payment cannot be collected, your access to paid features will be suspended until payment is resolved. Your account and data are retained for at least 30 days during this period.

6. AI-Generated Content

6.1 How AI Generation Works

The Service uses Claude, a large language model developed by Anthropic PBC, to generate strategic content based on your form inputs. When you submit a form, your responses are transmitted to Anthropic's API for processing, and the generated output is returned to your account.

6.2 Quality and Accuracy

We design our prompts and workflows to produce useful, high-quality content. However, AI-generated output:

• Is generated automatically based on your inputs and is not reviewed by a human before delivery
• May contain errors, omissions, inaccuracies, or content that does not meet your needs
• Should not be considered professional advice (legal, financial, marketing, branding, or otherwise)
• Should be reviewed critically before being applied to your business

You are responsible for reviewing, validating, and adapting AI-generated content to your specific situation.

6.3 No Guarantees

We do not guarantee specific outcomes, results, or business success based on the AI-generated content. Brand strategy is one of many factors that contribute to business performance.

6.4 Acknowledgment

By using the Service, you acknowledge that you understand AI-generated content has inherent limitations and that you assume responsibility for how you use it.

7. User Content

7.1 Your Content

"User Content" includes all information, responses, text, and materials you submit to the Service, including form responses, notes, and modifications to generated outputs.

You retain all ownership rights in your User Content. By submitting User Content to the Service, you grant us a limited, non-exclusive, royalty-free license to:

• Process your User Content via the Claude API to generate strategic outputs
• Store your User Content in our database to populate your dashboard and generate your playbook
• Display your User Content back to you within the Service
• Use anonymized, aggregated User Content to improve the Service (without identifying you personally)

7.2 Generated Outputs

The strategic content the Service generates based on your User Content (your "Generated Outputs") is yours to use. You may use Generated Outputs for any lawful business purpose, including external publication, presentations, internal documents, and commercial activities.

We make no claim of ownership over your Generated Outputs. However, because AI-generated content may not be eligible for copyright protection in all jurisdictions, we do not guarantee that you will be able to claim copyright in Generated Outputs.

7.3 Restrictions on User Content

You agree not to submit User Content that:

• Violates any law or regulation
• Infringes intellectual property rights of others
• Contains personal information about other individuals without their consent
• Contains malicious code, viruses, or harmful content
• Is fraudulent, deceptive, or defamatory
• Is intended to deceive or manipulate the AI to produce harmful outputs

We reserve the right to remove or refuse to process User Content that violates these restrictions.

8. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any law
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Scrape, crawl, or harvest data from the Service through automated means
• Resell, sublicense, or redistribute the Service or its outputs as a competing service
• Use the Service to build or improve a competing AI-powered brand strategy product
• Use the Service to send unsolicited communications or spam
• Attempt to gain unauthorized access to other users' accounts or data
• Interfere with or disrupt the Service's infrastructure or security
• Use the Service for any purpose that could harm minors or facilitate the sexualization, grooming, abuse, or harm of children
• Use the Service to generate content that promotes hate, violence, discrimination, or harassment
• Misrepresent your identity or affiliation with any person or organization

We reserve the right to suspend or terminate accounts that violate these acceptable use policies.

9. Intellectual Property

9.1 Our IP

The Service, including its software, design, branding, content (excluding your User Content and Generated Outputs), forms, prompt engineering, and underlying technology, is owned by Stratégies Nira Flow Inc. and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during the period of your active subscription.

9.2 Trademarks

"Nira Flow" and our logos are trademarks of Stratégies Nira Flow Inc. You may not use our trademarks without our prior written consent, except for nominal references (e.g., "Generated using Nira Flow") in materials describing your use of the Service.

9.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free, worldwide license to use that feedback to improve the Service, without obligation to compensate or credit you.

10. Third-Party Services

The Service relies on the following third-party providers, each with its own terms of service and privacy policy. Some are essential to the Service; others are optional integrations you may choose to enable:

• Anthropic (Claude API) — anthropic.com/legal
• Google (Calendar API, optional integration) — policies.google.com/terms
• Supabase (database, authentication) — supabase.com/legal
• Vercel (hosting) — vercel.com/legal
• Stripe (payments) — stripe.com/legal

• Zoho Mail (email hosting) — zoho.com/legal

By using the Service, you acknowledge that these third parties contribute to or enable the Service, and that their availability, terms, and policies may affect your experience with Nira Flow. We are not liable for failures or breaches caused by third-party providers.

11. Privacy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, available at niraflow.ai/privacy. By using the Service, you agree to the practices described in our Privacy Policy.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that:

• The Service will be uninterrupted, error-free, or completely secure
• AI-generated content will be accurate, complete, or suitable for your needs
• The Service will meet specific business outcomes or performance benchmarks
• Errors in the Service will be corrected within a specific timeframe

You acknowledge that the Service involves AI-generated content, which has inherent limitations, and that strategic decisions for your business should not rely solely on Service outputs.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STRATÉGIES NIRA FLOW INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL
• LOSS OR CORRUPTION OF DATA
• DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED CONTENT
• DAMAGES ARISING FROM SERVICE INTERRUPTIONS OR FAILURES OF THIRD-PARTY PROVIDERS

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of these limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Stratégies Nira Flow Inc. and its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of applicable laws
• Your violation of third-party rights, including intellectual property rights

15. Termination

15.1 Termination by You

You may terminate your account at any time by canceling your subscription and requesting account deletion through your account settings or by emailing privacy@niraflow.ai.

15.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without notice, if:

• You violate these Terms
• We are required to do so by law
• The Service is discontinued (in which case we will provide reasonable advance notice)
• Continued provision of the Service to you would be commercially unreasonable

15.3 Effect of Termination

Upon termination:

• Your right to access the Service ends immediately
• We will delete your account and User Content within 30 days, except where retention is required by law
• You may request a copy of your data before deletion by emailing privacy@niraflow.ai
• Sections that by their nature should survive termination (including IP, indemnification, limitation of liability, and dispute resolution) will continue to apply

16. Modifications to the Service or Terms

16.1 Service Changes

We may modify, update, or discontinue features of the Service at any time. For material changes that adversely affect paid subscribers, we will provide reasonable advance notice.

16.2 Terms Changes

We may modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of the Terms
• Notify registered users by email
• Post a notice on our website

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

17.2 Jurisdiction

You agree that any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the courts of Quebec, located in the judicial district of Terrebonne, and you consent to the personal jurisdiction of those courts.

17.3 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at privacy@niraflow.ai. We will work in good faith to resolve the issue within 60 days.

17.4 Class Action Waiver

You agree to bring claims against us only in your individual capacity and not as a plaintiff or class member in any class, collective, or representative action. This waiver does not apply where prohibited by applicable law.

18. Quebec-Specific Provisions

For users residing in Quebec, the following provisions apply:

18.1 Language

In accordance with the Charter of the French Language (Bill 96), you have the right to receive these Terms in French. A French version of these Terms is available at niraflow.ai/conditions-d-utilisation. By using the Service, you confirm your understanding of these Terms in your chosen language.

18.2 Consumer Protection Act

If you are a "consumer" within the meaning of Quebec's Consumer Protection Act, certain provisions of that Act may apply notwithstanding these Terms, particularly regarding warranties, refunds, and contractual rights. Nothing in these Terms reduces your statutory rights as a consumer in Quebec.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service. They supersede any prior agreements or communications.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

19.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right.

19.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

19.5 Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms caused by circumstances beyond our reasonable control, including natural disasters, internet outages, third-party service failures, or government actions.

19.6 Independent Contractors

These Terms do not create a partnership, joint venture, agency, or employment relationship between you and us.

19.7 Notices

We may send you notices by email to the address associated with your account, by posting on the Service, or by other reasonable means. Notices to us should be sent to privacy@niraflow.ai.
